Our client is undergoing a significant period of change, with a strong focus on placing customers at the heart of everything it does. Robust governance, Board effectiveness, and continuous improvement of the corporate secretariat function are key priorities for the organisation, and an opportunity has arisen for a senior governance professional to lead this critical function.

Reporting to the Chief Legal Risk and Compliance Officer, you will provide trusted advisory support to the Chair, CEO, and Board on sensitive governance matters, while managing all Board and Committee processes including agendas, papers, minutes, and circular resolutions, and ensuring compliance with the Corporations Act 2001 (Cth) and constituent documents. You will maintain statutory registers, manage ASIC notifications, and work closely with the Executive Leadership Team to strengthen conformance and quality across all Board materials. A key focus of the role is improving the standard of Board and Committee reporting. You will review and update Board and Committee charters, support the organisation's strategy and business planning processes, and advise on governance matters relevant to subsidiary and trustee structures.

You will be an experienced Company Secretary with a law degree together with relevant postgraduate corporate governance or company secretarial accreditation, and experience gained within a large and/or complex organisation. Experience establishing or leading a corporate secretariat function is highly regarded. You will bring solid technical grounding in corporations law and governance principles, exceptional communication skills, and proven credibility with Board members and senior stakeholders, underpinned by excellent attention to detail and strong initiative. Equally important is your ability to build relationships across a range of stakeholders, engaging with credibility and confidence at all levels of the organisation.
