General Counsel & Company Secretary

  • Broad, Senior Mandate Spanning Legal and Governance
  • Family Founded, Australian Owned, Experiencing Significant Growth
  • Genuine Seat on the Executive Leadership Team

One of Australia's largest manufacturers in its field, this proudly Australian owned and family founded business operates engineering and manufacturing facilities across Victoria along with service operations nationally and overseas. It plays a vital role in supplying and maintaining equipment relied upon by major organisations across the country. A pivotal senior legal and governance appointment has arisen at a true inflexion point for the business, with significant growth experienced in recent years and further growth projected ahead.

This is a senior, broad-scope opportunity for an experienced General Counsel to lead the legal and governance function as a core member of the Executive Leadership Team. Reporting to the Chief Financial Officer, you will provide commercially pragmatic legal advice across contracts, disputes, governance, and regulatory matters, while also taking on the Company Secretary function for the Board. You will embed compliance and ethical standards across the business, while also supporting subsidiaries and joint ventures with legal and governance matters. This is a genuine business partnering role, spanning boardroom strategy through to day-to-day operational legal issues.

You are a trusted legal and governance advisor with strong commercial judgement and a pragmatic, solutions-oriented approach to negotiation and risk. An admitted Australian legal practitioner with 10+ years' experience across corporate, commercial, or operational legal roles, you bring demonstrated capability advising executives and Boards with clear, practical, and commercially balanced judgement. You lead with integrity, bring genuine care to how you support people and the business, and hold your advice to a high standard of excellence. Strong stakeholder influence, sound governance discipline, and the ability to move seamlessly between strategic leadership and hands-on execution are essential. Experience in manufacturing, engineering, energy, infrastructure, or other asset-intensive environments will be highly regarded, as will experience in a private, family-owned or growth focused business.
